Richard Repp represents business clients ranging from start-ups to public companies. He assists both public and private clients with issuing debt and equity to raise capital from investors, including private offerings for start-up and early stage businesses. He also negotiates mergers, acquisitions and sales of public and private businesses. Richard registers public company securities with the SEC and prepares public company periodic reports, including proxy statements, quarterly and annual reports, and other shareholder communications. He handles regulatory compliance and corporate governance matters, including entity formation for corporations and limited liability companies, and advises clients with regard to shareholder, officer and board fiduciary duties. Richard also prepares and negotiates complex procurement and service agreements.
