Jeff Hergott is a partner at the firm and practices in the areas of corporate finance, mergers and acquisitions and corporate and commercial law. Jeff has experience representing issuers, investment dealers, private equity firms and other stakeholders in a wide variety of capital markets and M&A transactions. He regularly advises clients on both public offerings and private placements of equity and debt securities, across a broad section of industries, including cannabis, mining, oil and gas, renewable energy, biotech and technology sectors. Jeff’s M&A experience includes advising clients in respect of public and private share and asset acquisitions, take-over bids, arrangements and joint ventures and also includes advising clients in connection with going-public transactions such as initial public offerings, qualifying transactions and reverse take-overs. Jeff also routinely works with start-up and growth companies through all segments of their life cycle from formation, through various rounds of financings and eventual exits via capital market transactions or private sales. Jeff takes a collaborative approach to working with entrepreneurs. Jeff has extensive experience in the cannabis industry. He represents a range of cannabis industry participants including licensed producers and applicants, licensed dealers, cannabis equipment manufacturers and distributors, family offices and broker dealers. Jeff has acted as lead counsel in a variety of transactions, including advising Tokyo Smoke with its early stage financings, to its public listing through a merger with DOJA Cannabis and ultimately its sale to Canopy Growth Corporation. Jeff is ranked in 2022 Chambers Canada guide for Cannabis Law Nationwide-Canada and in The Best Lawyers in Canada 2022 for his work in Cannabis Law.
