Aayush Kapoor specialises in matters relating to mergers & acquisitions, joint ventures, private equity / venture capital investments, corporate restructuring, regulatory and general corporate advisory. He has advised foreign and Indian clients (including multinational corporates and emerging companies) on domestic and cross-border transactions including acquisitions, buyouts, direct sales, and secondary equity acquisitions. His experience in structuring transactions includes advising various clients on investment structures (both entry-level and exit strategies), fundraising and business structuring. Aayush has also advised on various private equity and venture capital transactions which have involved fundraising from investors such as IFC (part of World Bank group), Goldman Sachs, Softbank, SAIF Partners, and Tiger Global. Aayush has advised on several high-profile transactions that have been recognised as M&A/PE/VC deals of the year by Indian Business Law Journal and others. Aayush has also advised on various contentious M&A transactions which involved shareholder related disputes, and has represented various offshore brand owners / Indian brand licensees in hotel franchise related transactions. Before joining the Firm in 2013, Aayush worked with the Mumbai office of AZB and Partners, where he represented private equity investors such as Kohlberg Kravis Roberts, Headland Capital Partners and Matrix Partners, advising them in relation to investments in various Indian companies.
