Robert E. Lustrin is a partner in Seward & Kissel's Corporate Securities and Capital Markets Group. Mr. Lustrin focuses his practice on corporate and securities law related primarily to capital markets activities of shipping companies. Mr. Lustrin represents foreign and domestic issuers, underwriters, promoters and money managers in connection with a variety of securities offerings, including registered public offerings, Rule 144A, high-yield debt offerings, convertible bond offerings, “PIPE†transactions, and project finance vehicles. He also represents clients in connection with consent solicitations, exchange offers, mergers, tender offers, and restructurings. Mr. Lustrin works with many of the firm’s U.S.-listed shipping companies in connection with disclosure and securities law compliance matters, is a frequent speaker at shipping industry conferences and seminars on the subject of United States securities law and regulation, and has published articles on issues relating to United States securities offering rules and project financings.
