Daniel Eisner focuses his practice on the area of complex business transactions with a particular focus on structuring, negotiating and managing the legal aspects of domestic and international mergers and acquisitions, leveraged buyouts, growth equity and venture capital investments, debt financings, roll-ups and restructurings. Over the last 25 years, Dan has served as principal counsel in the representation of numerous portfolio companies of private equity and venture capital funds in a wide array of industries including healthcare, industrials, financial services and technology. Dan has considerable experience in representing privately owned companies and their investors in corporate governance and securities matters and routinely advises officers and directors on fiduciary responsibilities, disclosure obligations and contentious matters. Praised by clients as being “outstanding in all regards” and demonstrating “great tact in negotiations,” since 2004 Dan has been consistently recognized as a leading lawyer in Private Equity Buyouts and Corporate/M&A by The Best Lawyers in America, The Legal 500 U.S. and Chambers USA. Dan is an Adjunct Professor at Fordham University School of Law and has previously served as general counsel to Arsenal Capital Partners, a leading middle market private equity investment firm focused on healthcare and specialty industrial investments.
