Bio

Laurie is an experienced business transactional attorney providing entrepreneurs and middle market companies with outside general counsel services and advice on mergers and acquisitions. She also assists her clients with private equity transactions, venture capital and other financings (convertible notes and preferred stock), and with securities transactions involving stock, debt, options, and equity alternatives. Laurie advises corporations, limited liability companies, and partnerships on owner entrances and exits, restructurings, succession planning, and corporate governance. In addition, Laurie has worked with her clients on complex software licensing transactions, sophisticated joint venture arrangements, and other types of commercial agreements. Laurie began her career in the business and corporate law departments of major national and international law firms in Washington DC, Philadelphia, and San Francisco. She worked with public and private companies on securities offerings, mergers and acquisitions, ’34 Act matters, secured financings, and corporate governance. Laurie then practiced with smaller firms whose clients rely on their law firm lawyers for strategic and business advice as well as timely and cost-effective counsel. Because of her experience advising both large private and public companies and smaller growth companies, Laurie understands the goals and challenges of growing and middle-market companies as they strive for success. Laurie’s experience encompasses a number of industries such as technology, professional services, consulting, manufacturing, and wholesale and retail distribution. Laurie has actively negotiated many cross-border transactions with parties in Europe and Asia, and has clients located in England, Australia, and Canada. Laurie has been a speaker and panel moderator for groups including CEB, Association for Corporate Growth, Women in Consulting, and the Alameda County Bar Association.
