Henry Zangara is a Partner in Morrison Cohen’s Corporate Department where his practice focuses on mergers and acquisitions, private investment funds, corporate finance, and general corporate representation. Henry regularly represents both sponsors of, and investors in, private equity, venture, growth capital, mezzanine, buyout, and other alternative asset investment funds, as well as family offices. Henry represents these clients in connection with fund formation activities and secondary transfers, and in connection with structuring and negotiating domestic and international mergers and acquisitions, leveraged buyouts and recapitalizations, spinoffs, minority investments, venture and growth capital investments, debt and equity financings, and restructurings. Henry also regularly represents various businesses, including portfolio companies of private equity and family office clients, with all of their corporate needs, including formation, governance, acquisitions and financings, joint ventures, and commercial agreements. Henry is experienced in cross-border transactions, including matters involving Canada, India, Europe, China, the Cayman Islands and other offshore locations. Henry began his career first in the Business, Finance & Restructuring group and then the Corporate group at Weil, Gotshal & Manges LLP. Henry initially joined Morrison Cohen in 1999. He later left Morrison Cohen for a period of time, first joining J.H. Whitney & Co., a diversified manager of private equity, mezzanine debt, hedge, high yield, and bank loan structured product funds, as Vice President, and then moving to the New York office of Kirkland & Ellis LLP, before returning to Morrison Cohen in 2002.
