David Lerner middle-market transactional practice is multi-faceted and strongly oriented towards providing practical, commercial advice to key decision makers in strategic transactions such as business combinations, asset acquisitions and public and private capital financings. He regularly advises clients in developing and licensing information and other technology assets, and facilitates communications between a client’s IT personnel and management. David often serves in an outside general counsel role by advising businesses across a variety of manufacturing and service industries with respect to the acquisition, exploitation and protection of trademarks, copyrights and trade secrets. David also regularly advises managers of Private Investment Funds in the formation, launch and operation of hedge funds and private equity funds, including compliance with diverse state and federal laws and regulations. Having spent many early years as a business litigator prior to becoming a corporate lawyer, David is especially sensitive to the desire of clients to structure transactions to minimize the risk of future business disputes, and David strives to provide sound and commercially appropriate legal and business advice at every stage of a transaction.
