Andrew Kulpa is a Member in the Business Department at McDonald Hopkins with extensive experience in complex and cross-border transactions including mergers, acquisitions, buy-outs, and joint ventures. He also provides day-to-day legal counsel and transaction insight to a wide array of companies ranging from consumer branded goods, equipment leasing, energy, technology, manufacturing, rail, logistics, real estate development, medical devices, and industrial/infrastructure development. Andrew regularly assists clients with drafting, reviewing and negotiating contracts, non-disclosure agreements, employment agreements and employee matters, intellectual property licenses, and vendor agreements, as well as managing litigation strategies. Andrew’s practice also includes expertise in all aspects of transactions, including traditional and alternative structuring, preparing and reviewing letters of intent, conducting and managing due diligence efforts, drafting and negotiating transaction documents, and coordinating closings and assisting with post-merger integration. Andrew has worked in both private practice and in-house environments, working side-by-side with management and executives in negotiations to provide risk assessments and practical advice regarding transactions. Andrew has additional experience with the formation of domestic and international company organizations and strategic venture structuring; structuring relevant financing structures based on project goals; asset and stock acquisition; divestiture and liquidations; lending and borrowing transactions both in the private and public markets. He also assists clients with on-going compliance and reporting requirements related to various securities, regulatory, financial, insurance and borrowing regulations including HIPAA compliance, anti-kickback and STARK compliance as well as other medical and FDA compliance matters. Andrew earned his J.D. and a Certificate of Law and Business from Vanderbilt University Law School, and his MBA from Wayne State University. He completed a B.S. in industrial and operations engineering at the University of Michigan. Andrew has also earned a Six Sigma Green Belt from the University of Michigan Center for Professional Development.
