Bio

Robert J. Rawn is a partner in the Corporate Practice. Mr. Rawn is a nationally recognized corporate attorney who focuses his practice on mergers and acquisitions, joint ventures, securities offerings and compliance and corporate governance matters. He represents a wide range of public and private companies in a variety of industries, including manufacturing, life sciences, technology, telecommunications networking and private investment funds. His experience ranges from middle market to multi-billion dollar transactions. He also has extensive experience advising on cross-border deals and on business combination transactions involving special purpose acquisition companies (SPACs). Mr. Rawn’s representative M&A transactions include Silgan Holdings’ acquisition of the global dispensing business of Albea for $900 million, acquisition of the dispensing systems business of WestRock for approximately $1.025 billion and the acquisition of Portola Packaging, Inc. for approximately $266 million; Stanley Black & Decker’s acquisition of a tool storage company and the divestiture of Sargent & Greanleaf to OpenGate Capital; SAI Global Limited’s acquisition of Modulo Security LLC; Alcatel-Lucent’s acquisition of Motive, Inc. by cash tender offer and the divestiture of a video integration and laboratory testing services business to AT&T Services, Inc.; Global Eagle Entertainment’s acquisition of Emerging Markets Communications for $550 million in a cash and stock deal; and PL Developments’ acquisition of Aaron Industries. His representative SPAC business combination transactions include representing Shift Technologies, Inc. in its business combination with Insurance Acquisition Corp. resulting in Shift’s listing on Nasdaq with a combined market capitalization of over $700 million and representing Double Eagle Acquisition Corp. in its $1.1 billion business combination with Williams Scotsman International, Inc. He has represented many clients in complex securities offerings, including Silgan Holdings in numerous Rule 144A offerings of senior and subordinated notes; Alcatel-Lucent in a minority equity investment in Ikanos Communications, Inc. (PIPE transaction); the underwriters in a $270 million follow-on public offering by a genomic information company; and a corporate venture capital investor in a convertible preferred stock investment. Mr. Rawn has been recognized by Best Lawyers in America from 2005-2020.
