Bio

Donald E. Batterson is co-chair of the Japan Practice, Cross-Border Practice and a member of the Mergers & Acquisitions and Securities Practices. Mr. Batterson advises clients on mergers, acquisitions, joint ventures and public and private securities transactions. He also regularly advises clients with respect to securities regulations, fiduciary duties and general corporate and governance matters. Mr. Batterson has handled many high-profile and complex transactions for public and private companies in the United States and for numerous international clients. Mr. Batterson represents clients in numerous high-profile M&A transactions, including Takeda Pharmaceutical Company in connection with a multi-billion dollar split-off transaction involving TAP Pharmaceutical Products, which was a joint venture with Abbott Laboratories, and General Motors in the$5.6 billion sale of its Allison Transmission division to the Carlyle Group and Onex Corporation. Mr. Batterson also assisted with the highly successful sale of substantially all of the assets of General Motors (in a 363 transaction) to a newly formed entity sponsored by the US Treasury. Mr. Batterson also represented the CEO and top executives of Tekelec Global in connection with its sale to Oracle Corporation. Mr. Batterson has represented Hertz, General Motors, General Dynamics and other issuers in large and complex securities offerings, including leading the legal team on a global offering by General Motors of $17.9 billion of debt securities that was, at the time, the largest debt offering by a non-governmental issuer in history. Mr. Batterson has significant experience with cross-border M&A and other transactions, and he has represented numerous international clients, including in Japan and South Korea. For 10 consecutive years, members of the Leading Lawyers Network recognized Mr. Batterson’s work in the areas of Mergers and Acquisitions Law, Publicly Held Corporations Law and Securities.
