David A. Snyder is active across the spectrum of mergers and acquisitions and private equity transactions. In particular, David is an equity-finance specialist. He represents both sponsors and investors in the formation of private equity funds, funds-of-one, co-investments and general partner stakes. He also establishes buy-out syndicates, real estate platforms, venture capital and growth-stage investment rounds and various other alternative investment structures. In addition, David constructs founder and management rollover arrangements attendant to buy-outs. In his fund formation practice, David represents Texas-based sponsors in the formation of private equity funds and other co-mingled investment entities, as well as national and international institutional investors in connection with their investment programs in private equity funds and other alternative vehicles. David has extensive experience representing private equity funds and private and public companies in mergers and acquisitions (including private equity buy-outs, bolt-on acquisitions and co-investment platforms as well as public company mergers and take-privates), private equity investments (including leveraged recapitalizations, preemptive rights offerings, equity commitments, preferred equity investments and early-stage financings), technology transactions (such as services agreements, licensing agreements and various other intellectual property transactions), securities law compliance, corporate governance and other general corporate matters. Prior to joining Jackson Walker, David practiced at law firms in Washington, D.C. and Houston, Texas. He began his legal career as a law clerk to Judge Simeon Lake on the United States District Court for the Southern District of Texas.
