Bio

Leticia Comin has been a partner in Garrigues' Corporate and Commercial Law Department since February 2021. She specializes in mergers and acquisitions, securities markets, corporate law and commercial contracts. She has extensive experience in mergers and acquisitions (of both private and listed companies), corporate governance and corporate and securities market law, amassed both at top-tier law firms (she pursued most of her career at Linklaters, including a secondment at its London office) and in the public sector. From 2016 to 2020 she served as chief of staff to the Chairman of the National Securities Market Commission (CNMV), Sebastián Albella, and was a member of its steering committee. In that role she provided legal advice to the Chairman, mainly relating to takeover bids, mergers, IPOs and share capital increases and, in general, to all kinds of corporate and securities market transactions, as well as in the area of corporate governance, complex corporate issues concerning listed companies and market abuse. On behalf of the CNMV she was a member of the Takeover Bid Network of ESMA (the European Securities and Markets Authority) and of the Brexit coordination group in the Spanish financial services area (comprising the Ministry of Economy, the Secretariat-General of Treasury and Financial Policy, the CNMV, the Bank of Spain and the Directorate-General of Insurance and Pension Funds). During her time at the CNMV she participated in numerous legislative initiatives in the areas of corporate law and the securities market, as well as in the transposition of Directives, the drafting of preliminary bills and bills of royal decrees and CNMV circulars in this field, and the preparation of soft law guidance and standards issued by the CNMV (Technical Guides and Q&A). In particular, it is worth mentioning that she formed part of the technical team that drafted the preliminary bill of Law 5/2021, of April 12, which amends the Spanish Companies Act and other financial provisions as regards the encouragement of long-term shareholder engagement, which introduces very important amendments in the Spanish corporate and securities market laws. Likewise, she played a relevant role in the review of the Good Governance Code of Listed Companies carried out by the CNMV in June 2020. During her time at Linklaters she was involved in numerous significant transactions including both public M&A deals (mergers of listed companies, acquisitions of significant stakes, takeover bids), and private M&A (including involving regulated sectors), private equity and joint venture deals. In addition, she provided advice on various corporate law and corporate governance matters to listed companies, particularly in the area of conflicts of interest and the directors’ duty of loyalty.
