Bio

Calvin Yap is a founding partner of FitzGerald Yap Kreditor LLP, a 17 lawyer firm in Irvine, California, and was the managing partner of Oswald & Yap, a 17 lawyer firm for over 30 years, until the untimely death of his partner, Michael A. Oswald. Calvin holds the prestigious Martindale-Hubbell AV-5.0 rating bestowed on only the top 10% of lawyers in the United States and he is listed in the Bar Registry of Preeminent Lawyers. Calvin focuses his practice on startup companies; entrepreneurs; creative financing, cross border transactions, mergers and acquisitions, corporate structuring and capitalizing, private and public offerings; strategic globalization of products and services; cross border transactions; and protection of intellectual property assets. These transactions routinely involve creative and innovative use of modern technology and financing. Calvin has particular expertise in real property acquisition, development, financing and syndication, as well as portfolio interest structures for foreign investors. Calvin has personally developed and constructed numerous residential and commercial properties over the past 20 years, which makes him intimately familiar with the risks of developing and investing in real property. Calvin also supervises a team that has over 35 years of experience in securities law, SEC and FINRA compliance and arbitration, investor fraud, initial public offerings, private offerings, as well as crowd funding. Calvin’s clients include high net worth individuals, privately owned businesses, medical partnerships, family offices, financial institutions, the FDIC and publicly traded companies. Representative matters include international and domestic distributorships and licensing arrangements; corporate structure and governance; equity and debt financing; copyright, trademark and trade dress infringement actions; misappropriation of trade secrets; licensing and franchise issues; joint ventures; shareholder and partnership disputes; commercial lease transactions; breach of contract matters; inbound investments through the EB5, E-2 and L-1 investment visa program; and investments in Mexico, Panama, China, Japan and Taiwan. Calvin’s true value is in the relationships he has established over the past 30 years with colleagues, government officials and investors in the jurisdictions in which he has practiced. Calvin received his Juris Doctorate in 1981 from Northwestern University located in Chicago, Illinois. While in law school, Mr. Yap clerked for the United States Attorney’s Office for the Northern District of Illinois. Calvin is also a former instructor at the University of California, Irvine, teaching a senior level course on federal jurisdiction. He received his B.S. in 1978 from the University of Illinois located in Champaign, Illinois. Calvin is admitted to the California Supreme Court, the Ninth Circuit Court of Appeals and the U.S. District Court for the Central, Southern, Southern and Eastern Districts of California.
