Alan recently joined Drummond Woodsum as a shareholder after twenty-five years at a prominent Portland law firm, where he chaired its business law group for nineteen years. Alan focuses on mergers and acquisitions, although he prefers to think of his practice more as “buying and selling companies.” The personal side of M&A, working directly with owners and senior management, is the most satisfying aspect of Alan’s practice. He equally enjoys assisting these owner-managers with their post-transaction corporate legal needs and has advised numerous boards of directors over the years. Alan is an experienced contract negotiator and has handled middle market transactions ranging in size from one to three hundred million dollars in value. He strongly believes successful negotiations require much more than legal understanding; knowing his clients’ goals and understanding their businesses are essential. And, having a sense of humor doesn’t hurt either! Alan served on the Editorial Committee of the American Bar Association’s Negotiated Acquisitions Committee which oversaw the publication of the Model Stock Purchase Agreement, Second Edition, the ABA’s largest selling publication. He also is an adjunct professor at the Boston University College of Law where he teaches an M&A transaction seminar. During his career Alan has served on numerous boards and commissions, ranging from his New Hampshire high school alma mater to the Jackson Laboratory, an internationally renowned genetics research institution. Most recently Alan served as a director of the Institute for Family Owned Business, a non-profit serving Maine family owner-entrepreneurs. Although Alan began his law career in New York City, he was thrilled to come back to Maine, where he attended college. But Alan’s true passion has always been his family. He lives in Falmouth with his wife Holly, their three children, Ellie, Graham, and Louisa, and their two dogs. Boston College already has stolen the first two from home and the third “Eagle” leaves the nest in the fall to row with her fellow freshmen on the Charles River (and hopefully do some studying as well). Alan shares the culinary responsibilities with Holly because he loves to cook, and especially likes to avoid clean-up duties!
