Ellie Guadiana advises public and private companies, banks and non-bank lenders in various debt financing transactions, including secured and unsecured credit facilities, acquisition financings, bridge loans, mezzanine and other subordinated debt, structured financings (including royalty transactions), convertible bond offerings and a variety of capital markets transactions. Additionally, Ellie has extensive experience in derivatives transactions such as bespoke equity derivatives and ISDA master agreements. Ellie also advises corporate clients with respect to all types of derivatives transactions. This includes negotiating ISDA master agreements and interest rate swaps in connection with credit facilities, negotiating various F/X arrangements and negotiating more bespoke equity derivatives transactions, including call spreads, accelerated share repurchases and forward share repurchases and sales.
