Bryan Henderson advises public and private companies and private equity funds in connection with complex transactional matters, including mergers and acquisitions, dispositions, funding arrangements, portfolio company formations and joint ventures. He has significant experience in the energy and technology industries. Bryan also represents corporate clients and investment banks in various capital markets transactions involving public and private securities offerings, including IPOs, follow-on equity offerings, 144A transactions and, in connection with Chapter 11 restructurings, rights offerings. He also counsels clients on Exchange Act reporting, stock exchange compliance and other corporate governance matters.
