Simeon Ken R. Ferrer heads the firm’s Corporate Services Department. His practice areas include banking, finance and securities, foreign investments, mergers and acquisitions, and corporations Mr. Ferrer has assisted Philippine and foreign banks and other financial institutions in connection with equity, debt and derivative securities issues, as well as securitization transactions by Philippine corporations and by the Republic of the Philippines. Among his recent securities transactions involving public companies are the San Miguel Corporation Series “2†Preferred Share issue, which was cited as “the largest capital markets transaction in Philippine historyâ€, and the sale by the Uytengsu Family of its controlling interest in Alaska Milk Corporation. He also assists foreign investors in structuring their direct investments in the Philippines, such as through special economic zone facilities, joint ventures, subsidiaries and branches. He acts as director, corporate secretary or assistant corporate secretary of various Philippine and multinational corporations engaged in diverse economic activities, such as power distribution, car assembly, mineral processing, manufacturing, pharmaceuticals, semiconductors, and property holding and development. Mr. Ferrer was foreign attorney at Sullivan & Cromwell in New York from 1985 to 1986. He contributes to legal periodicals. His recent articles include the Philippine sections of International Insider Trading, a publication of FT Law & Tax in London, and of Securities Finance 2009, a publication of Law Business Research, also in London. He delivers lectures and papers in various legal and professional fora in and out of the Philippines. Mr. Ferrer is a member of the Philippine Bar Association and a Fellow of the Institute of Corporate Directors. He is also the International Alumni Contact for the Philippines of the University of Michigan Alumni Association and head of the firm’s Hiring Committee.
