Gregory Sutton Bio

Gregory Sutton is a partner in Montgomery McCracken’s Business Department. Greg has a robust corporate and transactional practice that is highly business focused and solutions oriented, informed by his experience both as a C-suite executive officer and lawyer. He has represented companies and investment firms across industries in transactions ranging from friends-and-family startup investments to multi-million dollar finance and exit transactions, and has served as Chief Financial Officer, Chief Operating Officer, and Chief Executive Officer of three leading companies in the cannabis industry. In his business career, Greg has driven M&A and other strategic transactions, including successfully taking a leading California cannabis company public and directing its overall M&A strategy. He has also managed large business units and functions, overseeing over 300 employees and 8 direct reports and having full P&L responsibility. In this capacity he drove extensive operational and revenue improvements in production, manufacturing, distribution, and retail business units, in one case helping turn a major cannabis cultivation facility from a significant loss-leader into an industry-leading profit center. In his legal practice, Greg has represented hundreds of private equity funds and strategic buyers in the management and execution of M&A transactions of all kinds, providing business-focused and practical counsel geared toward successful and efficient closings. Greg also acts as outside general counsel for many of his clients, having extensive familiarity with drafting and negotiating complex commercial agreements, partnerships and joint ventures, counseling on corporate governance and board meetings, advising on litigation and human resource risk management, and managing intellectual property. Greg also has a unique understanding of financial statements, valuation, business development and M&A strategy. He is keenly attuned to the day-to-day needs of executives, managers and other operators, all of which informs his active, multi-faceted corporate representation.
